Can you tell us more about this project and how you and the team at M&B Avocados played a role in its completion?
We have been advising Alderan, a strategic asset management company, and ActivImmo, its real estate investment trust, since they decided to expand their activities in Spain (i.e. in 2018). The real investment fund specializes in logistics assets and has significantly strengthened its presence in Spain by acquiring various assets across Spain from 2022 to 2023.
The most recent transaction in the Iberian Islands in which we supported ALDERAN was the acquisition of assets in Guadalajara (Castilla-La Mancha) for approximately €9 million. We are particularly proud to have supported such a prestigious and successful company throughout the acquisition process, from the detailed due diligence process to the negotiation of all contract documents.
We believe that we go far beyond transactional legal support, as we also act as ‘psychological interpretation’ and comparative law experts for our clients outside of Spain. We take pride in fostering lasting relationships by seamlessly guiding our clients through the entire acquisition process and all subsequent post-closing steps.
How does this job reflect the core functions of your business?
M&B Abogados specializes in international commercial law and specializes in real estate practices. We are a small law firm with all the “traditional” departments: M&A, corporate law, employment law, and tax law. We have also developed the fields of administrative law and urban development law, primarily to support M&A and real estate practices.
Our core business in Spain focuses on supporting foreign investors to expand into the country. We conduct many real estate transactions in countries where the role of a lawyer is essential at every stage of the transaction compared to other countries where notaries are more active. Our target is middle market transactions, primarily acting on behalf of buyers who are either real estate trusts, real estate investment companies, family offices or, less frequently, individuals.
These types of assignments involve assembling a team of attorneys with different specialties and varying levels of experience. In recent years, we have used project management techniques and digital tools to improve our team’s ability to improve internal and external communication, cross-functional handling of legal issues, meeting deadlines, and respecting fee levels agreed with clients. We have increased efficiency. These methods allow us to adapt our work, strategies and roles to the details of the transaction and the expectations of our clients. We have also developed the ability to process multiple transactions at once and diversify our offerings.
However, we also advise on more traditional M&A and corporate transactions in a variety of sectors including biotechnology, media, digital economy, energy, food and beverage. These transactions obviously use the same principles and provide the same level of efficiency for our customers. However, we will discuss this aspect of our practice in more detail when we focus on non-real estate transactions in the future.
How do you view the profession of a lawyer?
Central to our efforts is leveraging legal tools to achieve our clients’ business goals, and understanding that as advisors we have a non-negligible but not fundamental role. . Our customers are businessmen who make decisions based on a variety of factors. We believe that lawyers need to facilitate decision-making by indicating where there is risk, indicating the easiest path forward from a legal perspective, drafting the necessary contracts, and leading negotiations. We are not in front of our clients, we are not behind them, we are by their side. In my opinion, one of the main qualities of a lawyer is to listen carefully and actively. We also understand that lawyers are service professionals and that our clients have a right to expect the highest quality delivery of practical, to-the-point, legally sound writing, with open communication channels at all times.
